    LegacyAI Terms of Service

    These Terms of Service ("Terms") govern your use of LegacyAI.dev and related services ("LegacyAI," "we," "our," or "us"). By accessing or using LegacyAI, you agree to these Terms. If you do not agree, do not use the service.

    1. Eligibility and Use Requirements

    You must be at least 18 years old and authorized to share the business information you upload or disclose. You may not use LegacyAI for any unlawful, deceptive, or harmful purpose, or in violation of confidentiality, privacy, or contractual obligations you owe to others.

    2. Account Registration and Responsibilities

    You must provide accurate information and maintain the security of your account credentials. You are responsible for all activity that occurs under your account, including activity by individuals you invite or authorize. You are solely responsible for verifying the identity and trustworthiness of any collaborator, advisor, buyer, or other third party you grant access to your information.

    3. User Content and Ownership

    "User Content" includes all information you submit or upload, including voice recordings, transcripts, interview responses, documents, data, and derived materials.

    You retain ownership of your User Content. You grant LegacyAI a limited, non-exclusive license to store, process, and use your User Content solely to operate, maintain, and improve the service; generate reports and outputs you request; support your account; and carry out any access permissions you configure. We do not use your User Content to train language models.

    You represent that you have the rights and permissions necessary to provide User Content to LegacyAI.

    4. LegacyAI Intellectual Property

    All software, interfaces, designs, workflows, models, prompts, documentation, and branding are the intellectual property of LegacyAI. We grant you a limited, revocable, non-transferable license to access and use LegacyAI for your internal business purposes only. You may not copy, modify, distribute, reverse-engineer, or create derivative works of LegacyAI.

    5. AI-Generated Outputs

    LegacyAI uses AI services to assist with transcription, classification, summarization, and analysis. AI outputs may contain inaccuracies or errors and are intended for informational purposes only. You are responsible for evaluating the accuracy and appropriateness of all outputs before relying on them for business decisions.

    LegacyAI does not provide legal, tax, financial, investment, or professional advice.

    6. Prohibited Conduct

    You agree not to:

    • Access or use LegacyAI to violate laws or third-party rights.
    • Upload malware or harmful code.
    • Attempt to bypass security controls or gain unauthorized access.
    • Probe, scrape, or extract data or model behavior through automated means.
    • Use the service to build, train, or improve competing AI systems or datasets.
    • Misrepresent your business or identity to collaborators or prospective buyers.

    7. Access Granted to Collaborators

    LegacyAI enables you to grant access to third parties, including prospective buyers, advisors, or employees. You are solely responsible for:

    • Choosing whom to invite
    • Determining what they may access
    • Managing or revoking their permissions
    • Any consequences of that access

    LegacyAI is not responsible for disputes or actions between you and your collaborators, nor for verifying their identities.

    8. Third-Party Vendors and Integrations

    LegacyAI uses third-party service providers to operate the platform, including Supabase, OpenAI, xAI, Vapi, 11labs, n8n, Lovable, and analytics providers. These vendors may process User Content or account information solely to perform services on our behalf under appropriate confidentiality and security obligations.

    LegacyAI is not liable for outages, delays, or errors caused by third-party providers.

    9. Fees, Billing, and Cancellations

    If you subscribe to paid features, you agree to the posted pricing and billing terms. Fees are non-refundable except where required by law. Subscription plans renew automatically unless canceled. You may cancel at any time through your account settings, and cancellation will take effect at the end of the current billing period.

    LegacyAI may modify pricing with reasonable notice.

    10. Data Retention, Deletion, and Export

    You may delete User Content at any time. Upon deletion, data is removed from active systems promptly and from backup systems on a rolling schedule. You may request an export of your User Content. LegacyAI may retain metadata necessary for security, auditing, or legal compliance.

    Reports or files downloaded by third parties you invited cannot be revoked or recovered.

    11. Security

    LegacyAI implements reasonable administrative, technical, and physical safeguards, including encryption in transit and at rest, role-based access controls, and activity logging. No security system is perfect, and we do not guarantee absolute protection against unauthorized access, breach, or other incidents.

    12. Disclaimers

    LegacyAI is provided "as is" and "as available." To the fullest extent permitted by law, we disclaim all warranties, express or implied, including fitness for a particular purpose, accuracy, reliability, or non-infringement.

    We do not guarantee business outcomes, valuations, sale readiness, or the accuracy of AI-generated outputs.

    13. Limitation of Liability

    To the maximum extent permitted by law, LegacyAI's total liability for any claim related to the service will not exceed the greater of: (a) the amount you paid to LegacyAI in the twelve months preceding the claim, or (b) $500.

    LegacyAI is not liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost opportunities, or business interruption. We are not liable for actions taken by individuals you invited to access your data.

    14. Suspension and Termination

    We may suspend or terminate access to LegacyAI if you violate these Terms, misuse the platform, or engage in harmful activity. You may terminate your account at any time. Upon termination, the data retention and deletion rules in Section 10 apply.

    15. Governing Law

    These Terms are governed by the laws of the State of Florida, without regard to conflict-of-laws principles. Any disputes will be resolved in the state or federal courts located in Florida, unless arbitration is mutually agreed upon.

    16. Changes to These Terms

    We may update these Terms to reflect changes in the service. Updated Terms will be posted on this page, and continued use of LegacyAI constitutes acceptance of the updated Terms.
